Terms and Conditions of Use

1. Who and what these terms cover

In these terms, “SL”, “we” and “us” mean SL Process Measurement Pte Ltd and, where applicable, its subsidiaries and associated companies. “You” and “User” mean any person or organisation that accesses the website or uses its services.

“Site” or “SL website” means slmeasurement.com.sg, including this store and its pages, together with other websites SL operates now or in the future. “Services” means services SL makes available through the Site from time to time.

“Content” includes text, links, graphics, design, programming, attachments and documents on or connected with the Site. “Graphics” includes photographs, videos, logos, buttons and other visual elements, except third-party advertising. “Design” includes the Site's appearance, colours and layouts. “Programming” includes client-side and server-side code, software and databases used with the Site. “Text” includes editorial, navigational and instructional text.

Headings help you find information but do not change the meaning of these terms. Singular words include the plural where the context allows, and references to persons include firms and corporations where appropriate.

2. Changes to these terms

SL may amend, revise or replace these terms, in whole or in part, from time to time without giving prior or subsequent notice. Continued access to the Site or use of its services is subject to the terms as amended. If you do not accept them, you must stop accessing the Site and using the services.

3. Content and intellectual property

Unless we state otherwise, the Site, its Content and its services are owned by, licensed to or controlled by SL or the relevant rights holder. Applicable intellectual property laws protect them. Without our prior written consent, you may not reproduce, translate, modify, adapt, display, publish, communicate, transmit, broadcast, trade, sell, distribute or otherwise exploit any part of the Site, its Content, services or third-party materials available through it. This includes creating derivative works, reverse engineering, or copying or adapting code used to generate pages.

Linking another website to the SL website or mirroring its information on another server also requires our prior written consent. The SL name, mark and logo, and other marks displayed on the Site, belong to SL or their respective owners. Advertising materials, if any, belong to or are licensed to their advertisers.

4. Acceptable use and account security

You must use the Site and its services only for permitted purposes and in accordance with applicable law. You must not use them, or encourage or help someone else to use them, in a way these terms or applicable laws prohibit. In particular, you must not:

• probe, scan or test a system or network for vulnerabilities, or bypass security or authentication without authorisation;
• interfere with the Site or another user's service, including through viruses, overloading, flooding, spamming, mailbombing or crashing;
• send unsolicited promotional email through or in connection with the Site; or
• forge packet headers or identifiers in an email or posting.

Security violations may result in civil or criminal liability. SL may investigate suspected violations and cooperate with law enforcement authorities, including by disclosing information obtained about users where appropriate.

Keep your user ID, password, PIN and other authentication details confidential. SL is not responsible for security lapses caused by unauthorised access arising directly or indirectly from your failure to protect those details. Goods and services offered through the Site remain subject to the terms under which they are provided; information on the Site does not change those separate terms.

5. Availability of the Site

SL may change, edit, withdraw, deactivate, interrupt, suspend, restrict or terminate any part of the Site, its Content or services, or your access to them, temporarily or permanently, at any time without prior notice or giving a reason. SL is not liable for losses, damage, costs or expenses arising from such an interruption, restriction or termination to the extent permitted by law.

6. Information, warranties and third-party links

The Site, Content, services and information available through them are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, SL makes no representation or warranty, express, implied or statutory, about their accuracy, completeness, timeliness, reliability, suitability, availability, security or freedom from errors, viruses or other harmful components. This includes warranties of merchantability, title, satisfactory quality, non-infringement and fitness for a particular purpose. Information may come from third parties and may not have been independently verified. You use or rely on it at your own risk.

SL does not guarantee that communications to or from users will be received, stored, delivered or answered without delay or error. SL is not responsible for users' conduct or for misuse of the Site. If your use of the Site or Content requires you to service or replace equipment or data, SL is not liable for that cost.

Links to external sites are provided for convenience. SL does not control those sites or endorse, verify or warrant their content, products, services, availability or accuracy. Your use of an external site is at your own risk and subject to that site's terms. Any arrangement or transaction you make with a third party named or linked on the Site is between you and that third party; SL is not responsible for resulting losses or costs.

SL does not represent that the Site or its Content is appropriate or legally available in every location. If you access it from another jurisdiction, you are responsible for complying with applicable local law. Please read our Privacy Policy before submitting personal information.

7. Limits on liability

To the fullest extent permitted by law, SL is not liable for any loss, damage, cost or expense arising from or connected with your access to, use of, reliance on, or inability to access or use the Site, its Content or services. This includes direct, indirect, special, incidental and consequential losses; lost profits, opportunities or reputation; and losses arising from system or connection failure, errors, omissions, interruptions, security breaches, harmful code, data loss or corruption, delays or transmission errors, whether the claim is based in contract, tort or another legal theory and whether or not SL was advised that such loss might occur.

If any of the exclusions or limitations above is held inapplicable or unenforceable against you, SL's maximum aggregate liability to you for damages of any kind is limited to SGD 100.00. You acknowledge that the exclusions and limitations in these terms are reasonable.

8. Indemnity

You agree to indemnify and hold harmless SL and its directors, officers, employees and agents against claims, proceedings, liabilities, losses, damage, costs and expenses, including legal costs on a full indemnity basis, arising from your access to or use of the Site or services; access or use by another person using your authentication details; your breach of these terms; a breach by someone using your authentication details; or your breach of a law, statutory duty or another person's rights.

9. Singapore law and severability

Singapore law governs these terms and matters relating to your access to or use of the Site or services. You submit to the exclusive jurisdiction of the courts of Singapore.

If a provision is found invalid, illegal or unenforceable, the remaining provisions continue in effect. The affected provision will be limited or removed to the minimum extent necessary and, where possible, replaced with a valid provision that most closely achieves its intended effect.
